Property of CTC Entrepreneur agrees that all concepts, campaigns, deliverables, works for hire, inventions, etc. related to the present or planned business of CTC, which are conceived, developed, or reduced to practice by Entrepreneur, either alone or with others, during the period of his/her employment or during a period of one hundred twenty (120) days after termination of such employment, whether or not done during Entrepreneur’s regular working hours, are the sole property of CTC. 

All writings and other works which may be copyrighted (including computer  programs) which are related to the present or planned business of CTC and are prepared by Entrepreneur during his/her employment by CTC shall be, to the extent permitted by law, works made for hire, and the authorship and copyright of the work shall be in CTC’s name. To the extent that such writing and works are not works for hire, Entrepreneur agrees to the waiver of “moral rights” in such writings and works, and to assign to CTC all right, title and interest in and to such writings and works, including copyright.

The provisions of this paragraph shall not apply to an invention for which no equipment, supplies, facilities or trade secret information of CTC was used and which was developed entirely on Entrepreneur’s own time, unless (a) the invention relates (i) to the business of CTC or (ii) to Entrepreneur’s actual or demonstrably anticipated research or development for CTC, or (b) the invention results from any work performed by Entrepreneur for CTC.

Internal Disclosure

Entrepreneur agrees to disclose promptly and in writing to CTC, through Entrepreneur’s supervisor, all concepts, campaigns, deliverables, works for hire, inventions, etc. which are related to the present or planned business of CTC, and agrees to assign to CTC or its nominee all of Entrepreneur’s right, title, and interest in and to such concepts, campaigns, deliverables, works for hire, inventions, etc.  Entrepreneur agrees not to disclose any of these concepts, campaigns, deliverables, works for hire, inventions, etc. to others, without the express consent of CTC, except as required by his or her employment.

Assignment

Entrepreneur agrees that he/she will, at any time during or after his/her employment, on request of CTC, execute specific assignments in favor of CTC or its nominee of Entrepreneur’s interest in and to any of the concepts, campaigns, deliverables, works for hire, inventions, etc. which are related to the present or planned business of CTC or its affiliates, as well as execute all papers, render all assistance, and perform all lawful acts which CTC considers necessary or advisable for the preparation, filing, prosecution, issuance, procurement, maintenance or enforcement of any intellectual property rights in said concepts, campaigns, deliverables, works for hire, inventions, etc., and for the transfer of any interest which Entrepreneur may have. Entrepreneur will execute any and all papers and documents required to vest title in CTC or its nominee in the above concepts, campaigns, deliverables, works for hire, inventions, etc.

Payment for Assignment

Entrepreneur understands that if he/she is not employed by CTC at the time he/she is requested to execute any document under the preceding paragraph, he/she shall receive fifty dollars ($50.00) for the execution of each document, and one hundred fifty dollars ($150.00) per day of each day or portion thereof spent at the request of CTC in the performance of acts pursuant to the preceding paragraph, plus reimbursement for any out-of-pocket expenses incurred by Entrepreneur at CTC’s request in such performance.

No Waiver

Entrepreneur further understands and agrees that the absence of a request by CTC for information, or for the making of an oath, or for the execution of any document, shall in no way be construed to constitute a waiver of CTC’s rights.

Prior Works

Entrepreneur represents that Entrepreneur has disclosed to CTC all continuing obligations which Entrepreneur has with respect to the assignment of concepts, campaigns, deliverables, works for hire, inventions, etc. to any previous employers.  Entrepreneur understands that CTC does not seek any confidential information which he/she may have acquired from a previous employer, and Entrepreneur will not disclose any such information to CTC.
